1. Identification of Operator & Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you (whether an individual, commercial entity, or automated software agent acting on your behalf) and DBZ GROUP ("DBZ GROUP," "we," "us," or "our"), governing your access to and use of the LicenseGround website, REST API endpoints, Model Context Protocol (MCP) server, and associated services (collectively, the "Service").

BY ACCESSING OUR WEBSITE, CREATING AN ACCOUNT, GENERATING AN API KEY, CONNECTING AN MCP SERVER, OR EXECUTING QUERIES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, YOU MUST IMMEDIATELY CEASE ALL USE OF THE SERVICE.

2. B2B Commercial Scope & Mandatory FCRA Prohibition

You expressly represent, warrant, and covenant that you will NEVER use the Service, any data obtained therefrom, or any risk scores generated thereby, in whole or in part, as a factor in:

• Establishing an individual's eligibility for personal, family, or household credit or loans.
• Evaluating an individual for employment, hiring, promotion, demotion, reassignment, or retention as an employee.
• Screening individuals for residential leasing, rental tenancy, or housing eligibility.
• Determining eligibility for personal insurance, healthcare, or government entitlement benefits.

The Service is designed and authorized exclusively for B2B commercial vendor prequalification, commercial subcontractor credential auditing, autonomous corporate procurement gating, and institutional facilities risk management.

3. Algorithmic Risk Scores & Objective Public Data

LicenseGround aggregates, parses, indexes, and normalizes publicly available government licensing records, insurance filings, bond dockets, Stop Work Orders, and safety enforcement citations.

Any compliance indicators, continuous risk scores (0 to 100), or hireability determinations (e.g., can_hire: true/false) generated by our algorithms represent automated mathematical opinions based on historical docket snapshots. They do NOT constitute legal advice, insurance underwriting guarantees, structural engineering certifications, or factual declarations regarding the general competence, character, or financial solvency of any trade contractor.

Users and autonomous AI agents remain solely responsible for conducting independent professional diligence prior to signing contracts, issuing building permits, or wiring disbursements.

4. Intellectual Property & Permissible Use

While underlying government records and statutory texts reside in the public domain, the LicenseGround service, including its proprietary data normalization engines, machine-readable JSON schemas, Model Context Protocol server implementations, REST APIs, risk scoring heuristics, website UI, and content corpus, is the proprietary property of DBZ GROUP and protected by international copyright and intellectual property laws.

You are granted a limited, revocable, non-exclusive, non-transferable license to access the Service solely in accordance with your purchased tier or authorized evaluation quota. You may not resell raw query feeds, systematically mirror the database for competing services, or engage in abusive denial-of-service traffic.

5. Billing, Subscriptions & $0 Trial Identity Verification

Paid API packages (Growth, Scale, Enterprise) are billed via Stripe. All payments are processed securely through Stripe's Level-1 PCI-DSS compliant infrastructure. Due to the real-time computational costs of querying and maintaining indexed state registries, all digital lookup credits and API subscriptions are non-refundable once purchased.

For our Developer Trial (500 Verified Lookups), users undergo a $0 card-on-file verification. No charge is made to your card upon registration; the verification functions exclusively as an anti-abuse identity gate to prevent automated bot generation of disposable free keys.

6. Disclaimer of Warranties ("AS IS" and "AS AVAILABLE")

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. DBZ GROUP AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS EXPRESSLY DISCLAIM ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, AND NON-INFRINGEMENT.

DBZ GROUP DOES NOT WARRANT THAT: (A) THE DATA PROVIDED IS 100% ERROR-FREE, UP-TO-THE-SECOND COMPLETE, OR ACCURATE; (B) THE SERVICE WILL OPERATE UNINTERRUPTED OR SECURE FROM CYBER ATTACKS; OR (C) ANY DEFECTS OR GOVERNMENT REGISTRY ERRORS WILL BE CORRECTED. STATE REGISTRIES UPDATE ON INDEPENDENT TIMELINES BEYOND OUR CONTROL.

7. Absolute Limitation of Liability

UNDER NO CIRCUMSTANCES SHALL DBZ GROUP, ITS AFFILIATES, DIRECTORS, SHAREHOLDERS, EMPLOYEES, OR LICENSORS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES (INCLUDING LOSS OF PROFITS, REVENUE, DATA, GOODWILL, WORK STOPPAGE, PROJECT DELAYS, OR PROPERTY DAMAGE) ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL DBZ GROUP'S AGGREGATE CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT ACTUALLY PAID BY YOU TO DBZ GROUP FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100.00 USD).

8. Mutual Indemnification

You agree to defend, indemnify, and hold harmless DBZ GROUP and its officers, directors, employees, contractors, and agents from and against any and all claims, liabilities, damages, losses, fines, penalties, costs, and legal fees arising out of or related to: (a) your breach of these Terms, including any violation of the FCRA prohibition; (b) any business or contractual decision made by you or an autonomous AI agent deployed by you in reliance upon data from the Service; or (c) your violation of any third-party rights or applicable law.

9. Record Dispute & Expedited Correction Procedure

DBZ GROUP is committed to data integrity. If a licensed contractor or authorized corporate representative believes that public registry data displayed through LicenseGround is inaccurate or out-of-date, they may submit a formal expedited correction request to [email protected]. Upon verification against primary state registries, our indexing cache will be refreshed within 24 business hours.

10. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the substantive laws applicable to international commercial contracts, without regard to conflict of law principles. Any dispute, controversy, or claim arising out of or relating to these Terms shall be resolved through confidential, binding commercial arbitration conducted in the English language.
